Smartsheet: Reported Go-Private Deal Falls Short for Shareholders

We maintain our $60 fair value estimate for narrow-moat Smartsheet amid reports that private equity firms Vista Equity Partners and Blackstone are nearing a takeover offer for the company of around $8 billion, or $56 per share. Reuters reported on Sept. 16 that the offer could be made within a matter of weeks, and the private equity firms are actively pursuing financing for the deal. Smartsheet has yet to address the report, but if the offer materializes, we believe shareholders should hold out for a more attractive bid and takeover premium.
