The underwriting of a security and its sale to a few large-volume buyers, usually institutional clients, and not for resale. Private placement may also refer to a hedge fund strategy. Private placements seek to make short-term private placements in listed companies, usually via US Regulation D. This regulation allows small firms to raise capital very quickly and relatively cheaply and the managers aim to benefit from free equity options embedded in the financing transaction.
